Termination Accounting. If any payments for Owner’s account are received by Agent after expiration or earlier termination of this Agreement, Agent shall promptly deliver such funds to Owner. If and to the extent there are not sufficient funds in Owner’s account to cover costs relating to the period before such expiration or earlier termination, Owner shall be solely responsible to pay same. Owner shall pay Agent reasonable out-of-pocket expenses incurred by Agent at Owner’s direction after expiration or earlier termination of this Agreement. Within thirty (30) days after expiration or earlier termination of this Agreement, Agent shall deliver to Owner all written reports required with respect to the Property under Section 2.3 above for any period not covered by previously delivered reports up to the time of such expiration or earlier termination.

Termination Accounting. All amounts payable to Fitbit hereunder shall survive termination or expiration of this Agreement and become immediately due and payable. Within ten (10) days following termination, you shall furnish Fitbit with an inventory of unsold Products and Fitbit shall have the right to repurchase any unsold Product. Within ten (10) days after receipt of such inventory, Fitbit shall notify Client in writing whether or not Fitbit intends to repurchase from Client all or part of such inventory at the original invoice price (less any discount or other credit previously granted). Fitbit shall pay all transportation and other costs associated with shipping the Products to Fitbit.
Termination Accounting. Followingtheexpiration, orearlytermination ofthis Agreement, if BrokerreceivesanyinvoicesforPropertythereafter,Broker shall firstattemptto satisfy such expensebyapplyinganycreditbalancedue Owner by Broker; however, intheeventandtotheextentthereare not sufficient funds in the Property’s account, OwnerauthorizesBrokertowithdraw, viabankdraftfromtheaccountinformation suppliedontheDirect Deposit Form(P.15)theamountofanyunpaid invoice, and remit payment directly.

  • Distributions on Account of Separation from Service If and to the extent required to comply with Section 409A, no payment or benefit required to be paid under this Agreement on account of termination of the Executive’s employment shall be made unless and until the Executive incurs a “separation from service” within the meaning of Section 409A.

  • Deferred Compensation Account All Participant Deferral Credits and Employer Credits shall be credited to the Deferred Compensation Account of the Participant as provided in Section 8.

We are not responsible for payment of any check, draft, withdrawal, transaction, or other item after your account is terminated; however, if we pay an item after termination, you agree to reimburse us.

  • Vacation Accrual Regular employees shall accrue hours of vacation with pay for each hour of compensation to a maximum of eighty (80) hours per biweekly work period according to the following schedule, commencing with the employee's hire date of his latest period of County employment.

  • Withdrawals from the Collection Account and Distribution Account (a) The Servicer shall, from time to time, make withdrawals from the Collection Account for any of the following purposes or as described in Section 4.03:

  • Xxxx Individual Retirement Custodial Account The following constitutes an agreement establishing a Xxxx XXX (under Section 408A of the Internal Revenue Code) between the depositor and the Custodian.

  • The Collection Account (a) The Trust Administrator shall establish and maintain in the name of the Notes Intermediary the Collection Account as provided in Section 5.07, which account shall be pledged to the Indenture Trustee for the benefit of the Noteholders.

Except as otherwise provided in this Agreement, in the event that the Collection Account maintained with the Indenture Trustee is no longer an Eligible Deposit Account, then the Servicer shall, with the Indenture Trustee’s assistance, as necessary, use reasonable efforts to cause the Collection Account to be moved to an Eligible Institution within thirty days.
