Expenses Incurred by Agent. In its discretion, the Agent may discharge taxes and other encumbrances at any time levied or placed on any of the Collateral, make repairs thereto and pay any necessary filing fees. The Company agrees to reimburse the Agent on demand for any and all expenditures so made. The Agent shall have no obligation to the Company to make any such expenditures, nor shall the making thereof relieve the Company of any default.
Expenses Incurred by Agent. In the Agent’s discretion, if the Guarantor fails to do so, the Agent may discharge taxes and other encumbrances at any time levied or placed on any of the Collateral, make repairs thereto, maintain any of the Collateral, and pay any necessary filing fees or insurance premiums. The Guarantor agrees to reimburse the Agent on demand for all expenditures so made. The Agent shall have no obligation to the Guarantor to make any such expenditures, nor shall the making thereof be construed as a waiver or cure of any Default or Event of Default.

The Agent shall have no obligation to the Company to make any such expenditures, nor shall the making thereof be construed as a waiver or cure of any Default or Event of Default.

The Borrower agrees to reimburse the Agent on demand for any and all expenditures so made. The Agent shall have no obligation to the Borrower to make any such expenditures, nor shall the making thereof relieve the Borrower of any default.
Expenses Incurred by Agent. In the Administrative Agent’s discretion, if any Pledgor fails to do so, the Administrative Agent may discharge taxes and other encumbrances (other than Permitted Liens) at any time levied or placed on any of the Collateral, maintain any of the Collateral, make repairs thereto and pay any necessary filing fees or insurance premiums. Each Pledgor agrees to reimburse the Administrative Agent on demand for all expenditures so made. The Administrative Agent shall have no obligation to any Pledgor to make any such expenditures, nor shall the making thereof be construed as a waiver or cure of any Default or Event of Default.

Expenses Incurred by Agent. In its discretion, the Agent may -------------------------- discharge taxes (except as expressly set forth in (S)8.8 of the Credit Agreement) and other encumbrances at any time levied or placed on any of the Collateral, make repairs thereto and pay any necessary filing fees. Indiana LP agrees to reimburse the Agent on demand for any and all expenditures so made. The Agent shall have no obligation to Indiana LP to make any such expenditures, nor shall the making thereof relieve Indiana LP of any default.
Expenses Incurred by Agent. In its discretion, upon the occurrence and during the continuance of an Event of Default, the Agent may discharge taxes, Liens and other encumbrances at any time levied or placed on any of the Collateral (to the extent such taxes, Liens or encumbrances are required to be discharged by any Company under the Consignment Agreement), make repairs thereto and pay any necessary filing fees. The Companies jointly and severally agree to reimburse the Agent on demand for any and all expenditures so made. The Agent shall have no obligation to any Company to make any such expenditures, nor shall the making thereof relieve any Company of any default.
Expenses Incurred by Agent. The Company agrees to pay (a) all reasonable out-of-pocket expenses (including without limitation reasonable attorneys' fees and costs, and reasonable consulting, accounting, appraisal, investment banking and similar professional fees and charges) incurred by any Bank or the Agent in connection with (i) the enforcement of or preservation of rights under any of the Loan Documents against the Company or the administration thereof after the occurrence of a Default or Event of Default and (ii) any litigation, proceeding or dispute arising hereunder or in connection with any Bank's or the Agent's relationship with the Company hereunder; PROVIDED that all reasonable out-of-pocket expenses (including without limitation reasonable attorneys' fees and costs, and reasonable consulting, accounting, appraisal, investment banking and similar professional fees and charges) incurred by any Bank or the Agent in connection with (A) the enforcement of or preservation of rights under any of the Loan Documents against the Company or the administration thereof after the occurrence of a Default or Event of Default and (B) any litigation, proceeding or dispute whether arising hereunder or otherwise, in any way related to any Bank's or the Agent's relationship with the Company hereunder and (b) all reasonable out-of-pocket fees, expenses and disbursements of the Agent incurred in connection with UCC searches and UCC filings. Notwithstanding the foregoing, the Company shall have no obligation hereunder to the Agent or any Bank with respect to any costs or expenses arising from the gross negligence or willful misconduct of the Agent or such Bank, as the case may be.

Each of the Borrowers jointly and severally agrees to reimburse the Agent on demand for any and all reasonable expenditures so made. The Agent shall have no obligation to the Borrowers to make any such expenditures, nor shall the making thereof relieve any of the Borrowers of any default.
