Supplier Insolvency. In the event either party becomes insolvent, enters into voluntary or involuntary bankruptcy, ceases to conduct business or assigns its interests in this Agreement to a third party creditor, the other party may immediately terminate this Agreement.

Supplier Insolvency. Supplier agrees and acknowledges that the license to Medtronic in the intellectual property of Supplier shall at all times include at least each applicable (A) trade secret; (B) invention, process, design, or plant protected under 35 U.S.C. §101 et seq., (C) patent application; (D) plant variety; (E) work of authorship protected under U.S. Copyright Law (17 U.S.C. §101 et seq.); or (F) mask work protected under applicable U.S. Copyright Law (17 U.S.C. §101 et seq.) that is employed in the production of Products. In the event that a bankruptcy petition is filed by or on behalf of Supplier and Supplier, or a custodian or trustee acting on behalf of Supplier, rejects this Agreement, Medtronic shall be permitted to elect to retain such license pursuant to §365(n) of the federal bankruptcy code (11 U.S.C. §101 et seq.).
Supplier Insolvency. FIAMM may immediately terminate the Contract without any liability of FIAMM to Supplier upon the occurrence of any of the following or any other smiliar or comparable event (each a “Supplier Insolvency”): 1) insolvency of Supplier; 2) Supplier’s inability to promptly provide FIAMM with adequate and reasonable assurance of Supplier’s financial capability to perform timely any of Supplier’s obligations under any Contract; 3) filing of a voluntary petition in bankruptcy by Supplier; 4) filing of an involuntary petition in bankruptcy against Supplier; 5) appointment of a receiver or trustee for Supplier; or 6) execution of an assignment for the benefit of creditors of Supplier.
Supplier Insolvency. (a) A PO may be terminated immediately by CBRE without liability to Supplier if any Insolvency Event occurs. Supplier will reimburse CBRE for all costs incurred by CBRE in connection with any of the foregoing events, including without limitation attorneys’ and other professional fees.

  • Administrative Agent May File Bankruptcy Disclosure and Proofs of Claim In case of the pendency of any proceeding under any Debtor Relief Laws relative to any Loan Party, Administrative Agent (irrespective of whether the principal of any Loan shall then be due and payable as herein expressed or by declaration or otherwise and irrespective of whether Administrative Agent shall have made any demand on Borrower) shall be entitled and empowered (but not obligated) by intervention in such proceeding or otherwise:

  • Action if Bankruptcy If any Event of Default described in clauses (i) through (iv) of Section 9.1(h) with respect to the Borrower shall occur, the Commitments (if not theretofore terminated) shall automatically terminate and the outstanding principal amount of the Loans and all other Obligations shall automatically be and become immediately due and payable, without notice or demand to any Person.
