Subsidiary Notes. Each Subsidiary Note evidences amounts that were borrowed by the Borrower under the Existing Credit Agreement, the proceeds of which were loaned by the Borrower to the Subsidiary Guarantors. All amounts evidenced by each Subsidiary Note is due and owing in accordance with the terms of such Subsidiary Note without any defense, deduction, offset or counterclaim.
