Special Allocations Sample Clauses
The Special Allocations clause defines how certain items of income, gain, loss, or deduction are distributed among partners or members in a partnership or LLC, deviating from their general ownership percentages. In practice, this clause allows the parties to allocate specific tax attributes or financial results—such as depreciation, credits, or particular gains—to designated individuals or groups, often to reflect economic agreements or to comply with tax regulations. Its core function is to provide flexibility in financial and tax planning, ensuring that allocations match the parties’ intentions and address unique circumstances that standard allocation methods may not accommodate.
