Share Registrar. The term “Share Registrar” shall mean the Korea Securities Depository or any other institution organized under the laws of Korea appointed by the Company to carry out the duties of registrar for the Shares, and any successor thereto.
Share Registrar. The Purchaser agrees to take all action necessary to cause the Purchaser’s share registrar to accept the deposit of the Purchaser Shares comprising the Consideration into the share or member registry of the Purchaser under the names of Seller’s respective shareholders.
Share Registrar. The term "Share Registrar" shall mean Computershare Investor Services PLC, a depository which carries out the duties of registrar for the Shares or any successor as Share Registrar for such Shares appointed by the Company.
Share Registrar. Each of the Representatives shall have received a pdf-copy of the extract of the share register of the Company evidencing BofA, acting on behalf of the several Underwriters in proportion to their respective holdings set out in Schedule A hereto. In addition, Xxxxxxx XX and Xxxxx Xxxx & Xxxxxxxx LLP shall have received pdf-copies of (A) the Company’s book of uncertificated securities (Wertrechtebuch) duly signed by the Company evidencing BofA, acting on behalf of the several Underwriters in proportion to their respective holdings set out in Schedule A hereto, as holder of the Applicable Additional Shares and, if the Shares of the Company are not already listed, (B) a copy of the extract of the share register (Aktienbuch) of the Company evidencing BofA, acting on behalf of the several Underwriters in proportion to their respective holdings set out in Schedule A hereto, with respect to the Applicable Additional Shares.
