Member Registry means the registry maintained by the Managing Member in the books and records of the Company.

Member Registry means the record kept by the Managing Member that lists the names of all Members of the Fund, the number of Units purchased by each of them, the date of each such purchase, and the amounts of the Capital Contributions made at the time of the purchase of their Units from the Fund.

Examples of Member Registry in a sentence

  • The number of Membership Units and Percentage Interest shall be adjusted in the Member Registry from time to time by the Managing Member to the extent necessary to reflect accurately exchanges, redemptions, Capital Contributions, the issuance of additional Membership Units or similar events having an effect on a Member’s Percentage Interest occurring after the date hereof in accordance with the terms of this Agreement.

  • On the date hereof, the Members own Membership Units in the amounts set forth in the Member Registry and have Percentage Interests in the Company as set forth in the Member Registry.

  • The Managing Member shall from time to time update the Member Registry as necessary to accurately reflect the information therein, including as a result of any sales, exchanges or other Transfers, or any redemptions, issuances or similar events involving Membership Units.

  • Upon the issuance of any additional Membership Interest, the Managing Member shall update the Member Registry and the books and records of the Company as appropriate to reflect such issuance.

  • These historical processes have highlighted the importance of workforce management activities.
