S urvival. The termination of this Agreement for any reason will not release either Party from any obligations and liabilities set forth in Sections 4, 5, 7 12.1, 12.5, 12.6 and 12.10 and which the Parties have expressly agreed will survive such termination or which remain to be performed or by their nature would be intended to be applicable following any such termination. 8.5
S urvival. Upon expiration or termination of this Agreement, the provisions of Sections 3, 4, 5, 6, 7, 8.4, 8.5 and 9 shall survive.
S urvival. Termination of this Agreement (a) shall not relieve the Advisory Consortium or the Client of any obligations hereunder which expressly or by implication survives Termination hereof;(b) shall not relieve Client for making payment of the Fee already due and payable in terms of this Agreement; and (c) except as otherwise provided in any provision of this Agreement expressly limiting the liability of either Party, shall not relieve either Party of any obligations that have already arisen or liabilities for loss or damage to the other Party arising out of or caused by acts or omissions of such Party prior to the effectiveness of such Termination or arising out of such Termination.
S urvival. Any right, obligation or provision under this Agreement that, by its nature, should survive termination or expiration of this Agreement, will survive any expiration or termination of this Agreement.
S urvival. This Agreement will continue in effect after termination to the extent necessary to allow or require either Party to fulfill rights or obligations that arose under the Agreement.
S urvival. The respective rights and obligations of the Parties under Sections 5.3 and 6.15 of this Addendum shall survive the termination of this Addendum.
S urvival. The obligations of Seller to Buyer survive termination of the Purchase Order, except as otherwise provided in the Purchase Order.
S urvival. Sections 4.A, 4.B, 6, 7, 8, 9, 13.C, 15, and 16.G will survive termination of this Agreement.
S urvival. Covenants in this Agreement providing for performance after termination of this Agreement shall survive the termination of this Agreement.
S urvival. In addition to any provisions specifically stated as surviving termination, the provisions of this Agreement that by their nature are intended to survive the termination or expiration of this Agreement shall survive.
