Common use of S urvival Clause in Contracts

S urvival. The termination of this Agreement for any reason will not release either Party from any obligations and liabilities set forth in Sections 4, 5, 7 12.1, 12.5, 12.6 and 12.10 and which the Parties have expressly agreed will survive such termination or which remain to be performed or by their nature would be intended to be applicable following any such termination. 8.5
