A cknowledgement of Ownership. Acadis is a commercial-off-the-shelf (COTS) software product developed by, and the sole intellectual property of, Contractor. The Contractor shall retain all title, copyright, patent and other proprietary rights to all Proprietary Material and to all copies thereof. Any enhancements, modifications, improvements, derivations, extensions, links or other changes to the Licensed Software Programs and Documentation, whether made by or shared with the Client will be the exclusive property of Contractor and shall be subject to the terms and conditions of this Agreement. The Parties agree that, for purposes of this Agreement, the Licensed Software Programs shall be construed as “restricted computer software” as such term is defined in FAR 52.227-14.
