RIGHTS, POWERS, AND DUTIES OF NON-RELEASED PARTY TRUSTEE. 4.1 Role of the Non-Released Party Trustee. In furtherance of and consistent with the purpose of the Non-Released Party Trust and the Plan, subject to the terms and conditions contained in the Plan, the Confirmation Order, and this Agreement, the Non-Released Party Trustee shall, subject to the direction and approval of the Non-Released Party Trust Advisory Board as provided in this Agreement, (i) receive, manage, supervise, and protect the Non-Released Party Trust Assets upon its receipt of same on behalf of and for the benefit of the Non-Released Party Trust Beneficiaries; (ii) investigate, analyze, prosecute, and, if necessary and appropriate, settle and compromise the Non-Released Party Trust Causes of Action; (iii) prepare and file all required tax returns and pay taxes and all other obligations of the Non-Released Party Trust;

  • Powers and Duties Each Lender irrevocably authorizes each Agent to take such action on such Lender’s behalf and to exercise such powers, rights and remedies hereunder and under the other Credit Documents as are specifically delegated or granted to such Agent by the terms hereof and thereof, together with such powers, rights and remedies as are reasonably incidental thereto.
