Right to Enter Agreement. Executive represents and covenants to Company that he has full power and authority to enter into this Agreement and that the execution of this Agreement will not breach or constitute a default of any other agreement or contract to which he is a party or by which he is bound.
Right to Enter Agreement. Each Party represents that it has the right to accept its respective obligations as set forth in this Agreement.

The Seller has the full right, power and authority to enter into this Agreement and to transfer, convey and sell to the Buyer at the Time of Closing the Shares and upon consummation of the purchase contemplated hereby, the Buyer will acquire from the Seller good and marketable title to the Shares, free and clear of all covenants, conditions, restrictions, voting trust arrangements, liens, charges, encumbrances, options and adverse claims or rights whatsoever.
Right to Enter Agreement. Each party represents and warrants to the other that it has the unencumbered right to enter into this Agreement and to grant all rights granted herein and that it has not made or executed any agreement in conflict herewith.

Employee represents and covenants to Employer that he or she has full power and authority to enter into this Agreement, the Confidentiality Agreement and the Non-Competition Agreement (hereinafter collectively referred to as the "Agreements") and that the execution, delivery and/or performance of the Agreements will not breach or constitute a default of any other agreement or contract to which he or she is a party or by which he or she is bound.
Right to Enter Agreement. Contractor represents and warrants that it has the right to enter into this Agreement, to perform all of its obligations hereunder and grant the rights granted herein.

Noven represents and warrants that it has the right to enter into this License Agreement, and that there are no outstanding assignments, grants, licenses, encumbrances, obligations or agreements, either written, oral or implied, materially inconsistent with this License Agreement.

I represent and covenant to GDLS that I have full power and authority to enter into this Agreement, and that the execution of this Agreement will not breach or constitute a default of any other agreement or contract to which I am a party, or by which I am bound. Entire Agreement. This Agreement sets forth the entire agreement and understanding between GDLS and me relating to the subject matters addressed in this Agreement and fully supersedes any and all prior agreements, discussions or understandings between the parties pertaining to any subject matter contained in this Agreement. No modification of or amendment to the Agreement, nor any waiver of any rights under this Agreement will be effective unless in writing signed by management of GDLS and me. Any subsequent change or changes in my duties, salary or compensation will not affect the validity or scope of this Agreement.
Right to Enter Agreement. Each party has full power and authority to enter into and perform this Agreement, and the person signing this Agreement on behalf of each has been properly authorized and empowered to enter into this Agreement. Each party further acknowledges that it has read this Agreement, understands it, and agrees to be bound by it.
Right to Enter Agreement. Neither the execution and delivery of this Agreement nor the consummation of the transaction contemplated hereby will (x) violate any provision of the articles of incorporation or bylaws of Licensor, as amended to date, (y) with or without the giving of notice and/or the passage of time, violate, conflict with, result in the breach or termination of, constitute a default under, or result in the creation of any material lien, charge or encumbrance upon any of the assets or property of Licensor pursuant to, any contract, agreement, lease or commitment to which Licensor is a party or by which Licensor or any of its assets or property may be bound, or (z) violate any judgment, decree, order, statute, rule or governmental regulation applicable to Licensor or any of its assets, property or business.
