Restrictions on Reimbursement. Solely for the purposes of determining Licensee’s portion of such taxes, fees, assessments or similar expenses as contemplated in this Section 5 or anywhere else in this Agreement, if any such amounts are determined in whole or in part on the income or profits (aside from gross revenues) of any person or entity, Licensor and Licensee shall agree on a fixed amount (subject to the Annual Escalator, which shall be applied in the same manner as it is applied to the Monthly License Fee), that shall be treated as such tax, fee, assessment or similar expense in lieu of the actual amount, which agreed to amount shall be set forth in an amendment to this Agreement.

Restrictions on Reimbursement. (1) The Developer and the City agree that, in addition to any restrictions on reimbursement imposed by Third Party Funding Agencies, the Developer shall not be entitled to reimbursement from Public Financing provided directly from City Funds for work required to correct the Developer’s design and construction errors and omissions.

The ADAMH Board shall not make reimbursement to the Provider in excess of the annual amount allocated to the Provider included in Attachment 1 or allocation added subsequently through an Action of the ADAMH Board of Trustees, unless such reimbursement is required under applicable law.
