Representations, Warranties and Covenants to Survive Delivery. The respective representations, warranties, indemnities, agreements, covenants and other statements of the Company as of the date hereof shall survive execution of this Agreement and delivery of the Units and the termination of this Agreement for a period of one year after such respective event.
Representations, Warranties and Covenants to Survive Delivery. The representations, warranties and covenants (including indemnities) of the Company and the Underwriters contained in this Agreement and in any certificate delivered pursuant to this Agreement or in connection with the purchase and sale of the Units shall survive the delivery of and payment for the Units sold hereunder and shall continue in full force and effect unaffected by any subsequent disposition of the Units by the Underwriters or the termination of the Underwriters’ obligations and shall not be limited or prejudiced by any investigation made by or on behalf of the Underwriters in connection with the preparation of the Prospectuses, any amendments or supplements related thereto or the distribution of the Units.

Except as provided in Section 8(a), the respective representations, warranties, indemnities, agreements, covenants and other statements of the Company and the Placement Agent as of the date hereof shall survive execution of this Agreement and delivery of the Shares and the termination of this Agreement.

All representations, warranties and covenants contained in this Agreement or in the certificates of officers of the Company submitted pursuant hereto shall remain operative and in full force and effect as of the date made, as of the Closing Date and as of the Option Closing date, regardless of any investigation made by or on behalf of the Underwriter or any controlling person, or by or on behalf of the Company, and shall survive delivery of and payment for the Shares.

The representations, warranties, indemnities, agreements, covenants and other statements of the Company shall survive execution of this Agreement and delivery of the Securities, except that the representations and warranties shall survive for a period of only 24 months.
