REPRESENTATIONS AND WARRANTIES OF THE SELLING SHAREHOLDERS AND THE COMPANY. As an inducement of Intelligroup to enter into this Agreement, each of the Selling Shareholders, jointly and severally, and the Company hereby makes, as of the date hereof and as of the Closing Date, the following representations and warranties to Intelligroup, except as otherwise set forth in written disclosure schedules (the "Schedules") delivered to Intelligroup on or prior to the date hereof, a copy of which is attached hereto. The Schedules are numbered to correspond to the various sections of this Article 3 setting forth certain exceptions to the representations and warranties contained in this Article 3 and certain other information called for by this Agreement. Unless otherwise specified, no disclosure made in any particular Schedule shall be deemed made in any other Schedule unless expressly made therein.
