Reoffers and Resales. All subsequent offers and sales of the Shares by the Buyer shall be made pursuant to registration of the Shares being offered and sold under the 1933 Act or pursuant to an exemption from registration;

All subsequent offers and sales by the Buyer of the shares of Common Stock issuable upon exchange of the Series G Preferred Shares pursuant to this Agreement (the "Common Shares") shall be made pursuant to registration of such Common Shares under the 1933 Act or pursuant to an exemption from registration;
Reoffers and Resales. All subsequent offers and sales of the Adjustment Warrants by the Buyer shall be made pursuant to registration of the Adjustment Warrants being offered and sold under the 1933 Act or pursuant to an exemption from registration.
