RELIEF PROVISIONS. If Jamboree Office REIT fails to satisfy one or both of the 75% or 95% gross income tests for any taxable year, it may nevertheless qualify as a REIT for such year if it is entitled to relief under certain provisions of the Internal Revenue Code. These relief provisions will be generally available if Jamboree Office REIT's failure to meet such tests was due to reasonable cause and not due to willful neglect, if Jamboree Office REIT attaches a schedule of the sources of its income to its return and if any incorrect information on the schedule was not due to fraud with intent to evade tax. It is not possible, however, to state whether in all circumstances Jamboree Office REIT would be entitled to the benefit of these relief provisions. As discussed above, even if these relief provisions apply, a tax would be imposed with respect to Jamboree Office REIT's excess net income.
