Release of Immaterial Subsidiary. The Company has advised the Administrative Agent that its Subsidiary, TCH Canada Inc., a Utah corporation (“TCH Canada”), is an “Immaterial Subsidiary” and has requested that (i) the Required Lenders, pursuant to Section 9.10(a)(iii) of the Existing Credit Agreement, approve the release of the Liens granted by TCH Canada under the Collateral Documents and (ii) as a result of TCH Canada becoming an Immaterial Subsidiary, and therefore an Excluded Domestic Guaranty Subsidiary, the Administrative Agent, pursuant to Section 9.10(b) of the Existing Credit Agreement and without recourse to or covenant or warranty, express or implied, by the Administrative Agent, release the guaranty of the Obligations by TCH Canada. By their execution hereof, (A) the Required Lenders confirm the release contemplated by the foregoing clause (i), (B) the Administrative Agent confirms the termination of the guaranty by TCH Canada contemplated by the foregoing clause (ii) and (C) the Administrative Agent agrees, at the sole cost and expense of the Loan Parties, to assign, transfer and deliver to TCH Canada, against receipt and without recourse to or warranty by the Administrative Agent, the Pledged Collateral (as defined in the Existing U.S. Security Agreement) owned by TCH Canada in the possession of the Administrative Agent, and hereby authorizes TCH Canada (or its designee) to file the UCC-3 termination financing statement in the form approved by the Administrative Agent.

  • Subsidiaries All of the direct and indirect subsidiaries of the Company are set forth on Schedule 3.1(a). The Company owns, directly or indirectly, all of the capital stock or other equity interests of each Subsidiary free and clear of any Liens, and all of the issued and outstanding shares of capital stock of each Subsidiary are validly issued and are fully paid, non-assessable and free of preemptive and similar rights to subscribe for or purchase securities. If the Company has no subsidiaries, all other references to the Subsidiaries or any of them in the Transaction Documents shall be disregarded.

  • Environmental Laws The Company and its Subsidiaries (i) are in compliance with all federal, state, local and foreign laws relating to pollution or protection of human health or the environment (including ambient air, surface water, groundwater, land surface or subsurface strata), including laws relating to emissions, discharges, releases or threatened releases of chemicals, pollutants, contaminants, or toxic or hazardous substances or wastes (collectively, “Hazardous Materials”) into the environment, or otherwise relating to the manufacture, processing, distribution, use, treatment, storage, disposal, transport or handling of Hazardous Materials, as well as all authorizations, codes, decrees, demands, or demand letters, injunctions, judgments, licenses, notices or notice letters, orders, permits, plans or regulations, issued, entered, promulgated or approved thereunder (“Environmental Laws”); (ii) have received all permits licenses or other approvals required of them under applicable Environmental Laws to conduct their respective businesses; and (iii) are in compliance with all terms and conditions of any such permit, license or approval where in each clause (i), (ii) and (iii), the failure to so comply could be reasonably expected to have, individually or in the aggregate, a Material Adverse Effect.

  • Termination of Agreement If this Agreement is terminated by the Representatives in accordance with the provisions of Section 5 or Section 9(a)(i) hereof, the Company shall reimburse the Underwriters for all of their out-of-pocket expenses, including the reasonable fees and disbursements of counsel for the Underwriters.

  • Confirmation of Agreement Except as amended hereby, the Custody Agreement is in full force and effect and as so amended is hereby ratified, approved and confirmed by the Customer and the Bank in all respects.

  • Transactions with Affiliates Directly or indirectly enter into or permit to exist any material transaction with any Affiliate of Borrower, except for transactions that are in the ordinary course of Borrower’s business, upon fair and reasonable terms that are no less favorable to Borrower than would be obtained in an arm’s length transaction with a non-affiliated Person.

  • Amendments and Waivers (a) If the ICANN Board of Directors determines that an amendment to this Agreement (including to the Specifications referred to herein) and all other registry agreements between ICANN and the Applicable Registry Operators (the “Applicable Registry Agreements”) is desirable (each, a “Special Amendment”), ICANN may adopt a Special Amendment pursuant to the requirements of and process set forth in this Section 7.6; provided that a Special Amendment may not be a Restricted Amendment.

  • AFFIRMATIVE COVENANTS Until the Commitments have expired or been terminated and the principal of and interest on each Loan and all fees payable hereunder shall have been paid in full and all Letters of Credit shall have expired or terminated and all LC Disbursements shall have been reimbursed, the Borrower covenants and agrees with the Lenders that:
