REIMBURSEMENT OF FEES AND COSTS. The Parties acknowledge that Xxxxxxxx and his counsel offered to reach preliminary agreement on the material terms of this dispute before reaching terms on the amount of fees and costs to be reimbursed to them. The Parties thereafter reached an accord on the compensation due to Xxxxxxxx and his counsel under general contract principles and the private attorney general doctrine and principles codified at California Code of Civil Procedure § 1021.5, for all work performed through the mutual execution of this agreement. Under these legal principles, PIP shall reimburse Xxxxxxxx’x counsel for fees and costs incurred as a result of investigating and bringing this matter to PIP’s attention, and negotiating a settlement in the public interest. Within ten (10) days of the Effective Date, PIP shall issue a check payable to “Xxxxxxx & Xxxxx” in the amount of $12,000.00 for delivery to the address identified in § 3.2(a)(i), above.

The parties acknowledge that Held and his counsel offered to resolve this dispute without reaching terms on the amount of fees and costs to be reimbursed to them, thereby leaving this fee issue to be resolved after the material terms of the agreement had been settled. Held then expressed a desire to resolve the fee and cost issue shortly after the other settlement terms had been finalized. The parties then attempted to (and did) reach an accord on the compensation due to Held and his counsel under general contract principles and the private attorney general doctrine codified at California Code of Civil Procedure § 1021.5, for all work performed through the mutual execution of this agreement. Interline shall pay $26,700 for fees and costs incurred as a result of investigating, bringing this matter to Interline’s attention, and negotiating a settlement in the public interest. Interline shall issue a separate 1099 for fees and costs (EIN: 00-0000000), shall make the check payable to “The Chanler Group” and shall deliver payment on or before March 1, 2015, to the address listed in Section 3 above.

Under these legal principles, Medline shall reimburse Xxxx’x counsel for fees and costs incurred as a result of investigating and bringing this matter to Medline’s attention, and negotiating a settlement in the public interest. Within ten (10) days of the Effective Date, Medline shall issue a check payable to “Xxxxxxx & Xxxxx, LLC” in the amount of $18,000.00 for delivery to the address identified in § 3.2(a)(i), above.

Under these legal principles, Xxxxxx shall each reimburse Eden’s counsel for fees and costs incurred as a result of investigating and bringing this matter to Xxxxxx’s attention and negotiating a settlement in the public interest. Within three (3) days of the Effective Date, Ashver shall issue one check payable to “Xxxxxxx Xxxxx APC” in the amount of fifteen thousand dollars ($15,000.00) and deliver it to the address identified in § 8(a), below.
