Regional Significance. Several independent processes have identified the area proposed for the TBCA as ecologically significant within the WIO region, recognising that it is an area that is special within the region, and should be considered as one continuous seascape, rather than managed as if it were made up of independent small ecosystems. In paragraph 36 of decision X/29, the Conference of the Parties to CBD (COP 10) requested the Executive Secretary to work with Parties and other Governments as well as competent organizations and regional initiatives, to organize, including the setting of terms of reference, a series of regional workshops, with a primary objective to facilitate the description of EBSAs through the application of scientific criteria in annex I of decision IX/20. Regional Significance. The Rail Trail will complete the first trail connection between Salt Lake and Utah counties on the east side of I-15. This trail is regional in nature and completes a gap that would provide a 35 mile continuous trail connection from Xxxxx to Provo. Regional and high priority trails should be designed in a way to accommodate users of all abilities and comfort levels. When a regional trail must cross major roadways at grade, the perceived comfort and safety of the trail is diminished, and can deflect potential users. The Rail Trail currently has a grade separated crossing over Adobe Way and two approved and funded grade separated crossings at Traverse Mountain Boulevard and Flight Park Road. The addition of the proposed grade separated crossing would complete this section of the Rail Trail as a completely grade separated facility from SR-92 up to the Salt Lake County border. This trail design would create a safe and comfortable facility for users of all comfort and ability levels.

  • Legal Significance Patient acknowledges that this Agreement is a legal document and creates certain rights and responsibilities. Patient also acknowledges having had a reasonable time to seek legal advice regarding the Agreement and has either chosen not to do so or has done so and is satisfied with the terms and conditions of the Agreement.

  • Information and Sophistication Without lessening or obviating the representations and warranties of the Company set forth in Section 3, each Purchaser hereby: (i) acknowledges that it has received all the information it has requested from the Company and it considers necessary or appropriate for deciding whether to acquire the Securities, (ii) represents that it has had an opportunity to ask questions and receive answers from the Company regarding the terms and conditions of the offering of the Securities and to obtain any additional information necessary to verify the accuracy of the information given the Purchaser and (iii) further represents that it has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risk of this investment.

  • Project Understanding This project is understood to be the replacement of one (1) hydraulic elevator. The project delivery system is understood to be Design−Bid. Our mechanical and electrical engineering services for this project will consist of the following. Services not indicated below are considered outside of our basic scope and will be provided upon request as an additional service. It is our understanding that the design of this project will include four (4) deliverables as defined below. The design duration for this project is estimated to be six (6) weeks (not including owner review).

  • Minimum Standard of Treatment 1. Each Party shall accord to a covered investment treatment in accordance with the customary international law minimum standard of treatment of aliens, including fair and equitable treatment and full protection and security.

  • Experience, Financial Capability and Suitability Subscriber is: (i) sophisticated in financial matters and is able to evaluate the risks and benefits of the investment in the Shares and (ii) able to bear the economic risk of its investment in the Shares for an indefinite period of time because the Shares have not been registered under the Securities Act (as defined below) and therefore cannot be sold unless subsequently registered under the Securities Act or an exemption from such registration is available. Subscriber is capable of evaluating the merits and risks of its investment in the Company and has the capacity to protect its own interests. Subscriber must bear the economic risk of this investment until the Shares are sold pursuant to: (i) an effective registration statement under the Securities Act or (ii) an exemption from registration available with respect to such sale. Subscriber is able to bear the economic risks of an investment in the Shares and to afford a complete loss of Subscriber’s investment in the Shares.

  • Representation By Counsel; Interpretation The parties acknowledge that each party to this Agreement has been represented by counsel in connection with this Agreement and the transactions contemplated by this Agreement. Accordingly, any rule of Law, or any legal decision that would require interpretation of any claimed ambiguities in this Agreement against the party that drafted it has no application and is expressly waived.

  • Adjunct Faculty Adjunct faculty shall be eligible for benefits as follows:

  • FULL UNDERSTANDING Executive acknowledges that Executive has been afforded the opportunity to seek legal counsel, that Executive has carefully read and fully understands all of the provisions of this Agreement and that Executive, in consideration for the compensation set forth herein, is voluntarily entering into this Agreement.
