Record Keeping by Sublicensee. Licensee shall include in each sublicense granted by it pursuant to this Agreement a provision requiring the sublicensee to make reports to Licensee, to keep and maintain records of sales made pursuant to such sublicense and to grant access to such records by Merck’s independent accountant to the same extent required of Licensee under this Agreement.

Record Keeping by Sublicensee. Urovant shall include in each sublicense granted by it pursuant to this Agreement a provision requiring the Sublicensee to make reports to Urovant, to keep and maintain records of sales made pursuant to such sublicense, and to grant access to such records by Merck’s independent certified public accounting firm to the same extent required of Urovant under this Agreement.
Record Keeping by Sublicensee. SPL shall include in each sublicense granted by it pursuant to this Agreement a provision requiring the Sublicensee to make reports to SPL, to keep and maintain records of sales made pursuant to such sublicense and to grant access to such records by Licensor's independent accountant to the same extent required of SPL under this Agreement.

Schering shall include in each sublicense granted by it pursuant to this Agreement a provision requiring the Sublicensee to make reports to Schering, to keep and maintain records of sales made pursuant to such sublicense and to grant access to such records by Licensor's independent accountant to the same extent required of Schering under this Agreement.
Record Keeping by Sublicensee. PLUS shall include in each sublicense granted by it pursuant to this Agreement a provision requiring the Sublicensee to make reports to NanoTx, to keep and maintain records of sales made pursuant to such sublicense, and to grant access to such records by NanoTx’s independent certified public accounting firm to the same extent required of PLUS under this Agreement.
Record Keeping by Sublicensee. Schering shall include in each sublicense granted by it pursuant to this Agreement a provision requiring the Sublicensee to make reports to Schering, to keep and maintain records of sales made pursuant to such sublicense and to grant access to such records by Sepracor's independent accountant to the same extent required of Schering under this Agreement. Upon the expiration of [**] following the end of any year, the calculation of royalties payable with respect to such year shall be binding and conclusive upon Sepracor, Schering and its Sublicensees shall be released from any liability or accountability with respect to royalties for such year.
Record Keeping by Sublicensee. Licensee will include in each Sublicense Agreement a provision requiring the sublicensee to make reports available to Licensee and to keep and maintain records to the same extent required of Licensee under this Agreement. Licensee will include audit rights in each Sublicense Agreement and exercise their audit rights no less than [***] every [***] years to ensure the accuracy of sublicensee reporting. Licensee will communicate and compensate MSD for any findings with respect to such sublicensee audits.
Record Keeping by Sublicensee. SP Ltd. shall include in each ----------------------------- sublicense granted by it pursuant to this Agreement a provision requiring the sublicensee to make reports to SP Ltd., to keep and maintain records of sales made pursuant to such sublicense and to grant access to such records by Zonagen's independent accountant to the same extent required of SP Ltd. under this Agreement. Upon the expiration of twenty-four (24) months following the end of any year, the calculation of royalties payable with respect to such year shall be binding and conclusive upon Zonagen and SP Ltd. and its sublicensees shall be released from any liability or accountability with respect to royalties for such year.
Record Keeping by Sublicensee. AHPC shall include in each sublicense granted by it pursuant to this Agreement a provision requiring the sublicensee to make reports to AHPC, to keep and maintain records of sales made pursuant to such sublicense and to grant access to such records by Apollo's independent certified public accounting to the same extend required of AHPC under this Agreement.
