Privileges of Executive Membership. Each Executive Member in good standing shall be entitled to vote for the election of Directors as set forth in Section 4.3 of the Bylaws, and on each matter submitted to a vote of the Members. Each Executive Membership shall have only one vote on each matter or election of Directors. Executive Members who fail to be in good standing, as set forth in Section 2.2 of the Bylaws, shall not be entitled to vote on any matter. Additionally, Executive Members shall have all of the rights under the Nonprofit Corporation Law of the State of California as amended from time to time (the “Nonprofit Corporation Law”) which are afforded to members of a mutual benefit corporation (as defined in Section 5056 thereof) and shall receive all publications of SD Association which are intended for regular distribution as may be determined by the Board of Directors.
