PREPAYMENT OF SECURITIES. (a) At any time and from time to time after the fifth anniversary of the date of issuance of the Securities but not prior thereto, the Bank may (subject to the prior approval of the applicable Federal Banking Regulator), upon not less than seven Business Days’ notice to Purchasers, prepay, without premium or penalty thereon, the unpaid principal amount of the Securities, in whole or in part, together with accrued interest thereon to the date of such prepayment on the principal amount prepaid; provided that each partial prepayment shall be in an aggregate principal amount of not less than $250,000.
