Common use of Powers Clause in Contracts

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.

Powers. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents Documents, subject to any limitation contained in this Agreement, to be taken by the Agent.

Powers. The Each Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the such Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Designated Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Designated Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Designated Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Designated Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents hereunder as are specifically delegated to the Agent by the terms of each thereofthe Loan Documents, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or Banks nor any obligation to the Lenders Banks to take any action thereunder under the Loan Documents except any action specifically provided by the Loan Documents to be taken by the Agent, and in no event shall the Agent have any fiduciary responsibilities to any Bank.

Powers. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Facility Documents to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties or fiduciary duties to the LendersLenders or the Issuing Banks, or any obligation to the Lenders or the Issuing Banks to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.

Powers. The Each Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the such Agent by the terms of each thereof, together together, in the Administrative Agent's case, with such powers as are reasonably incidental thereto. The Agent Agents shall have no implied duties or fiduciary duties to the Lenders, Lenders or any obligation to the Lenders to take any action thereunder thereunder, except any action specifically provided by the Loan Documents to be taken by the Agentapplicable Agents.

Powers. The Agent shall have and may exercise such powers under the Loan Transaction Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Transaction Documents to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder hereunder or under any other Loan Document except any action specifically provided by the Loan Documents to be taken by the Agent.. 10.3

The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder thereunder, except any action specifically provided by the Loan Documents Financing Agreements to be taken by the Agent.

Powers. Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.. 16.3

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto; PROVIDED, HOWEVER in the event of a conflict between the terms and provisions of any Loan Document (other than this Agreement) and this Agreement, the terms and conditions of this Agreement shall control. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents Documents, subject to any limitation contained in this Agreement, to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation obligations to the Lenders (including, without limitation, duties or obligations to take any action thereunder except any action specifically provided by under the Loan Documents to be taken by Documents) other than those specifically set forth in the AgentLoan Documents.

The Agent Agents shall have and may exercise such powers under the Loan Documents as are specifically delegated to the such Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent Agents shall have no implied duties or fiduciary duties to the Lenders, or any obligation to the Lenders to take any action thereunder hereunder or under any of the other Loan Documents except any action specifically provided by the Loan Documents required to be taken by the AgentAgents or either of them.

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.. 10.3

The Agent Agents shall have and may exercise such powers under this Agreement and the other Loan Documents as are specifically delegated to the Agent Agents by the terms of each hereof and thereof, together with such powers as are reasonably incidental thereto. The Agent Agents shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder hereunder or thereunder, except any action specifically provided by this Agreement and the other Loan Documents to be taken by the applicable Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental theretothereto (but subject to SECTION 14.13 below). The Agent shall have no implied duties duties, obligations or liabilities to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.. Only Agent may perform the duties reserved to it under the Loan Documents and no Lender shall act or purport to act on behalf of the other Lenders or Agent on any such matters. Without limiting the generality of the foregoing:

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder hereunder or under any other Loan Document except any action specifically provided by the Loan Documents to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under ------ the Loan Credit Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Credit Documents to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents hereunder as are specifically delegated to the Agent by the terms of each thereofthis Agreement and the other Loan Documents, together with such powers as are reasonably incidental thereto. The Agent shall have no obligation or implied duties to the Lenders, or any obligation to the Lenders duty to take any action thereunder under this Agreement or any of the other Loan Documents, except any action specifically provided by this Agreement or any of the other Loan Documents to be taken by the AgentAgent and in no event shall the Agent have any fiduciary responsibilities to any Bank.

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.. 123

The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder under the Loan Documents except any action specifically provided by the Loan Documents to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto, including the right to receive all payments, notices and other deliveries and communications to be given Lenders or Agent under this Agreement or any other Loan Document; provided, however, that Agent shall not, absent the prior approval of all Lenders, waive any default under the Loan Documents or amend any terms set out in the Loan Documents. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents Financing Agreements as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Neither the Agent nor the Audit Agent shall have no any implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder thereunder, except any action specifically provided by the Loan Documents Financing Agreements to be taken by the Agent or the Audit Agent, as applicable.

Powers. The Agent shall have and may exercise such powers hereunder and under the other Loan Documents as are specifically delegated to the Agent by the terms of each hereof or thereof, together with such powers as are reasonably incidental thereto. The Agent shall not have no any implied duties to the LendersBanks, or any obligation to the Lenders Banks to take any action thereunder hereunder or under any other Loan Document except any action specifically provided by the this Agreement or such other Loan Documents Document to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Transaction Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder thereunder, except any action specifically provided by the Loan Transaction Documents to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents Financing Agreements as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents Financing Agreements to be taken by the Agent.

Powers. The Agent shall have and may exercise such powers under the ------ Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto. The Agent shall have no implied duties to the Lenders, the LC Issuers or the Swing Line Lender or any obligation to the Lenders Lenders, LC Issuers or Swing Line Lender to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.

Only Agent may perform the duties reserved to it under the Loan Documents and no Lender shall act or purport to act on behalf of the other Lenders or Agent on any such matters. Without limiting the generality of the foregoing:

The Agent Neither of the Agents shall have no any implied duties to the Term Lenders, or any obligation to the Term Lenders to take any action thereunder except any action specifically provided by the Loan Credit Documents to be taken by the such Agent.

Powers. The Agent shall have and may exercise such powers under the Loan Documents as are specifically delegated to the Agent by the terms of each thereof, together with such powers as are reasonably incidental thereto; provided, however in the event of a conflict between the terms and provisions of any Loan Document (other than this Agreement) and this Agreement, the terms and conditions of this Agreement shall control. The Agent shall have no implied duties to the Lenders, or any obligation to the Lenders to take any action thereunder except any action specifically provided by the Loan Documents to be taken by the Agent.action
