Personnel Changes. In the event Contractor replaces any of its personnel, Contractor will make such replacement(s), with Contractor’s other personnel of equal or superior ability, experience, and qualifications. Personnel Changes. Replacement of any personnel shall be made with personnel of equal ability, experience, and qualification and shall be approved by the Participating State. For all personnel, the Participating State reserves the right to require submission of their resumes prior to approval. If the number of Contractor’s personnel assigned to the Agreement is reduced for any reason, Contractor shall, within ten (10) Business Days of the reduction, replace with the same or greater number of personnel with equal ability, experience, and qualifications, subject to the Participating State’s approval. The Participating State, in its sole discretion, may approve additional time beyond the ten (10) Business Days for replacement of personnel. The Contractor shall include status reports of its efforts and progress in finding replacements and the effect of the absence of the personnel on the progress of the Agreement. The Contractor shall also make interim arrangements to assure that the Agreement progress is not affected by the loss of personnel. The Participating State reserves the right to require a change in Contractor’s personnel if the assigned personnel are not, in the sole opinion of the Participating State, meeting the Participating State’s expectations.

If Charterer should be dissatisfied with the conduct of the Master, officers or crew, Owner shall, on receiving particulars of the complaint, investigate it and, if reasonably justified, make a change in the appointments. In any event, Owner shall communicate in writing the result of its investigation to Charterer as soon as possible. Charterer agrees to refrain from arbitrarily requiring changes in appointments.
Personnel Changes. Contractor's Project Manager and other key personnel assigned to this Contract may not be replaced without the written consent of the College. Such consent shall not be unreasonably withheld or delayed provided an equally qualified replacement is offered. In the event that any College or Contractor personnel become unavailable due to resignation, illness or other factors, excluding assignment to project outside this contract, outside of the College's or Contractor's reasonable control, as the case may be, the College or the Contractor, as the case may be, shall be responsible for providing an equally qualified replacement in time to avoid delays to the work plan.
