PAYMENTS TO THE FISCAL AND PAYING AGENT. 3.1 Issuer to Pay Fiscal and Paying Agent In order to provide for the payment of principal and interest in respect of any Notes as the same become due and payable, the Issuer shall pay to the Fiscal and Paying Agent, before 10:00 a.m. (Local Time) the date on which such payment becomes due, an amount equal to the amount of principal and/or (as the case may be) interest falling due in respect of the Notes on such date. The Issuer shall confirm to the Fiscal and Paying Agent by 3:00 p.m. (Local Time) on the second Business Day prior to the due date for any such payment that irrevocable instructions have been issued by it for such payment to the Fiscal and Paying Agent. If the Fiscal Agent determines in its absolute discretion that payment in accordance with this Clause 3.1 is required to be made earlier, it will provide the Issuer with no less than 21 days’ prior notice in writing of such requirement.

PAYMENTS TO THE FISCAL AND PAYING AGENT. 6.1 No later than 15 (fifteen) Business Days after the respective Record Date for Payment, the Fiscal and Paying Agent shall agree with the Issuer via e-mail on the overall amount of funds in CZK which should be transferred to the Account. The Fiscal and Paying Agent shall further notify the Issuer of the number of the Account and any other information necessary for the Issuer to duly remit the relevant amount of the Payment no later than 5 (five) Business Days before the relevant Payment Date. The credit balances on the Account will bear no interest.

  • Paying Agent to Hold Money in Trust The Company shall require each Paying Agent other than the Trustee to agree in writing that the Paying Agent will hold in trust for the benefit of Holders or the Trustee all money held by the Paying Agent for the payment of principal, premium or Liquidated Damages, if any, or interest on the Notes, and will notify the Trustee of any default by the Company in making any such payment. While any such default continues, the Trustee may require a Paying Agent to pay all money held by it to the Trustee. The Company at any time may require a Paying Agent to pay all money held by it to the Trustee. Upon payment over to the Trustee, the Paying Agent (if other than the Company or a Subsidiary) shall have no further liability for the money. If the Company or a Subsidiary acts as Paying Agent, it shall segregate and hold in a separate trust fund for the benefit of the Holders all money held by it as Paying Agent. Upon any bankruptcy or reorganization proceedings relating to the Company, the Trustee shall serve as Paying Agent for the Notes.
