Payments of stated interest and OID. As discussed under “—Source of the interest income and characterization of the Issuers,” stated interest income and OID on a Note may be considered U.S. source. Subject to discussions below under “—Information reporting and backup withholding” and “—Foreign Account Tax Compliance Act,” even if interest is treated as U.S. source (for this purpose, including any accrued OID), it generally will not be subject to U.S. federal withholding tax provided that: · the interest is not effectively connected with the non-U.S. holder’s conduct of a trade or business in the United States; · the non-U.S. holder does not, actually or constructively, own 10% or more of the total combined voting power of all classes of our voting stock; · the non-U.S. holder is not a controlled foreign corporation that is related to us through actual or constructive stock ownership and is not a bank that received such Note on an extension of credit made pursuant to a loan agreement entered into in the ordinary course of its trade or business; and · either (1) the non-U.S. holder certifies in a statement provided to the applicable withholding agent, under penalties of perjury, that it is not a “United States personfor U.S. federal income tax purposes and provides its name and address, (2) a securities clearing organization, bank or other financial institution that holds customers’ securities in the ordinary course of its trade or business and holds the Note on behalf of the non-U.S. holder certifies to the applicable withholding agent under penalties of perjury that it, or a financial institution between it and the non-U.S. holder, has received from the non-U.S. holder a statement certifying, under penalties of perjury, that such holder is not a United States person and provides the applicable withholding agent with a copy of such statement or (3) the non-U.S. holder holds its Note directly through a “qualified intermediary” and certain conditions are satisfied. If the above conditions are not met, payments of interest to a non-U.S. holder that are treated as U.S. source will generally be subject to a 30% U.S. federal withholding tax, although a non-U.S. holder may be entitled to a reduction in or an exemption from withholding tax on interest if the non-U.S. holder provides the applicable withholding agent with a properly executed (1) IRS Form W-8BEN or W-8BEN-E claiming an exemption from or reduction of the withholding tax under the benefit of a tax treaty between the United States and the...

  • Interest and Payments Borrower shall make payments in accordance with the Note at the rate set forth in the Note.

  • Interest and Late Charges If Tenant fails to pay when due any Rent or other amounts or charges which Tenant is obligated to pay under the terms of this Lease, the unpaid amounts shall bear interest at the maximum rate then allowed by law. Tenant acknowledges that the late payment of any Monthly Installment of Base Rent will cause Landlord to lose the use of that money and incur costs and expenses not contemplated under this Lease, including without limitation, administrative and collection costs and processing and accounting expenses, the exact amount of which is extremely difficult to ascertain.
