PAYMENTS AND OTHER PROVISIONS UPON TERMINATION OTHER THAN FOR CAUSE. OR FOR GOOD REASON. In the event Employee's employment with the Company --------------------- (including its subsidiaries) is terminated by the Company for any reason other than for Cause as provided in Paragraph 5 and other than as a consequence of Employee's death, disability, or normal retirement under the Company's retirement plans and practices prior to a Change of Control or more than three years after the occurrence of a Change of Control (as defined in Paragraph 9.d. hereof), then the following provisions shall apply. These same provisions shall apply if Employee terminates his employment in accordance with the provisions of Paragraph 6 hereof, prior to a Change of Control or more than three years after the occurrence of a Change of Control (as defined in Paragraph 9.d. hereof).

  • Obligations Upon Termination Upon termination of this Agreement:

Pursuant to this provision, the Judicial Council may terminate this Agreement for convenience at any time, upon providing the Contractor written Notice identifying the effective date of termination. Upon the effective date of the termination Notice for convenience, the Contractor shall promptly discontinue all services affected unless the Notice specifies otherwise.
