Payment of Senior Discount Notes. The Company shall pay the principal of, and premium, if any, and interest on, the Senior Discount Notes on the dates and in the manner provided in the Senior Discount Notes. Holders must surrender their Senior Discount Notes to the Company to collect principal payments. Principal, premium, or interest shall be considered paid on the date due if, by 2:00 p.m., Boston, Massachusetts time, on such date, the Company shall have executed wire transfers in immediately available funds designated for and sufficient to pay such principal, premium or interest. To the extent lawful, the Company shall pay interest (including Post-Petition Interest) on overdue principal, premium and interest (without regard to any applicable grace period) at a rate equal to 3.0% per annum in excess of the then applicable interest rate on the Senior Discount Notes.

  • Deferred Discount Payment Upon the consummation of the initial Business Combination, the Company will direct the Trustee to pay the Representatives, on behalf of the Underwriters, the Deferred Discount out of the proceeds of the Offering held in the Trust Account. The Underwriters shall have no claim to payment of any interest earned on the portion of the proceeds held in the Trust Account representing the Deferred Discount. The provisions of this Section shall not apply to any payment with respect to which Section 15.02 would be applicable.
