Payment for Stages. 1-3 of the Scope of Work For Stages 1-3, payment will be made based on satisfactory completion of the Milestones or Deliverables, as indicated in Exhibit B, Cost Proposal; and Exhibit C, Payment Schedule. “Completion” as used herein includes achievement of applicable approvals by SANDAG. Contractor shall provide supporting documentation relating to Contractor’s invoice, as is requested by SANDAG, within 14 days of receipt of SANDAG’s written request for such documentation. SANDAG may delay payment for any invoiced item if, in SANDAG’s sole opinion, sufficient supporting documentation has not been provided. If SANDAG and the Contractor disagree about the Work completed as reflected in an invoice, SANDAG shall make payment based on the Work it believes is completed, and specify in writing the reason for the withheld amounts. The Contractor may initiate the dispute resolution procedures set forth in Section 15 following SANDAG’s written disapproval of any invoiced amount.

Payments from Customer to the Company shall be in United States dollars; however, Customer may elect to have the invoice also show the amount due in a currency other than United States dollars, calculated at the exchange rate in effect on the date of the Company's invoice, and Customer may elect to pay the invoice in the non-United States currency in the amount set forth in the invoice.
