Oversight and Responsibility. Agent acknowledges and agrees that FMO is responsible to the Company to actively supervise the conduct, acts and performance of Agent under this Agreement. Agent agrees to cooperate with FMO and follow all instructions and guidance from FMO regarding compliance with the Company’s requirements for the marketing and promotion of the Products, Medicare Laws and Regulations, other applicable federal and state laws and regulations, as well as the Company’s applicable policies and procedures. Agent shall not pay any form of rebate to Members or potential enrollees in order to obtain business. Agent shall immediately inform the Company of any actual or suspected rebate to Members or potential enrollees by any person or entity acting on behalf of Agent.

  • SERVICES AND RESPONSIBILITIES 2.1 Contractor hereby agrees to perform the services described and for the fee set forth in the Scope of Work. The Contractor shall be solely responsible for the satisfactory and complete execution of the Scope Work. The Contractor shall provide and pay for all labor, materials, equipment, tools, construction equipment and machinery, water, utilities, transportation and other facilities and services necessary for the proper execution and completion of the Scope of Work.
