Other Claims Affecting Title. Lessor obtained fee title to the Site and the Premises pursuant to the Action, and through such Action and/or concomitant settlement agreements executed between Lessor and any and all persons having a legal interest in the Site or the Premises, has acquired title to the same free of any and all claims or encumbrances affecting title. As of the termination of this Lease, Lessee shall not have permitted any encumbrance to arise on title to the Premises which would be inconsistent with the condition of title acquired by Lessor on the Effective Date and shall cause any such encumbrance to be removed, in a manner similar as for mechanics liens under Section 4.03, and shall hold Lessor harmless therefrom. Should such an encumbrance occur, Lessee shall immediately reimburse Lessor for any and all reasonable expenses incurred by Lessor in connection with the removal of same, including attorneys' fees, upon presentation of an invoice therefore. If Lessee fails to make such reimbursement when due, the amount due shall be deducted by Lessor from the $10,000 Security Deposit pursuant to Section 2.03(b) hereof. If the Security Deposit funds are insufficient to make such payment, the remaining amount shall accrue interest, as provided in Section 10.04, and shall be a material breach of this Lease, subject to all rights and remedies herein.

Any sale of, or the grant of options to purchase, or any other realization upon, any Pledged Collateral shall operate to divest all right, title, interest, claim and demand, either at law or in equity, of the applicable Pledgor therein and thereto, and shall be a perpetual bar both at law and in equity against such Pledgor and against any and all persons claiming or attempting to claim the Pledged Collateral so sold, optioned or realized upon, or any part thereof, from, through or under such Pledgor.
