Organization of TCD. TCD is a corporation duly organized and validly existing under the laws of the State of Florida and has all requisite power and authority to own, lease and operate its properties and assets and to conduct its business as now conducted and as proposed to be conducted. TCD is duly qualified or licensed to do business in each jurisdiction in which the property owned, leased or operated by it or the nature of the business conducted by it makes such qualification necessary. TCD has no direct or indirect subsidiaries and does not have (or possess any options or other rights to acquire) any direct or indirect ownership interests in any business, corporation, partnership, limited liability company, association joint venture, trust or other entity. A true, complete and correct copy of each of the Articles of Incorporation and the Bylaws of TCD as in effect on the date of this Agreement, including all amendments thereto, have heretofore been delivered to Parent.
