Organization; Capital Structure of the Companies; Power and Authority. (a) Each of the Companies is duly organized, validly existing and in good standing under the Laws of New York. Each of the Companies is duly qualified to transact business and is in good standing in each jurisdiction where the character of its properties owned or held under lease or the nature of its activities makes such qualifications necessary, except where the failure to be so qualified or in good standing would not reasonably be expected to, individually or in the aggregate, be material and adverse to the Business. Each of the Companies has the corporate power and corporate authority to own or lease and operate its assets and to carry on the Business in the manner as it is currently being conducted, except as would not reasonably be expected to, individually or in the aggregate, be material and adverse to the Business. Seller has made available to Buyer true, correct and complete copies of the certificate of incorporation and bylaws of each Company, in each case, as amended and in effect on the date hereof.

The Purchaser is and will at all times be in full compliance with all Nasdaq rules and regulations with respect to the absence of a shareholder vote in connection with the authorization of this Agreement and the Ancillary Agreements (including the issuance of the Purchaser Shares comprising the Consideration).
