Opportunity to Seek Advice. The Executive acknowledges and confirms that he has had the opportunity to seek such legal, financial and other advice and representation as he has deemed appropriate in connection with this Agreement, that the Executive is fully aware of its legal effect, and that Executive has entered into it freely based on the Executive’s judgment and not on any representations or promises other than those contained in this Agreement.
Opportunity to Seek Advice. The Employee has been advised by the Company that the Employee has the right to consult with an attorney prior to signing this Agreement, and that Employee has forty five (45) days from the date on which the Employee receives this Agreement (noted below) to consider whether or not the Employee wishes to sign it. The date on which the Employee received this Agreement is accurately reflected on the line marked “DATE RECEIVED” on the signature page hereto. For acceptance of this Agreement to be effective, it must be in writing and hand delivered or mailed to Polaris Industries Inc., Attn: ____________, 0000 Xxxxxxx 00, Xxxxxx, MN 55340. If mailed, the acceptance must be postmarked within the 45-day period, properly addressed as set forth in the preceding sentence and sent by certified mail, return receipt requested. If delivered by hand, it must be given to _____________ within the 45-day period.

Each of the parties acknowledges that it/he/she has had the opportunity to seek advice of independent legal counsel in connection with this Agreement and that it/he/she understands the meaning of every term of this Agreement and the consequences of signing this Agreement.

The Exchanging Warrantholder acknowledges that Faegre & Xxxxxx LLP and Xxxxxx N.V., each legal counsel to the Issuer, do not represent the Exchanging Warrantholder in connection with this Agreement and the Closing Documents, and the Exchanging Warrantholder has not relied to any extent on Faegre & Xxxxxx LLP or Xxxxxx N.V. in deciding to enter this Agreement or any other agreement. The Exchanging Warrantholder has consulted with, or had ample opportunity to consult with, the Exchanging Warrantholder’s own legal, financial, accounting and tax counsel concerning the transactions contemplated in this Agreement and the Closing Documents. The Exchanging Warrantholder has carefully reviewed this Agreement and the Closing Documents and understands them.

The Contractor and the Executive acknowledge and confirms that they have had the opportunity to seek such legal, financial and other advice and representation as they have deemed appropriate in connection with this Agreement, that they are fully aware of its legal effect, and that Contractor has entered into it freely based on its and Executive’s his judgment and not on any representations or promises other than those contained in this Agreement.
Opportunity to Seek Advice. The Executive understand that by executing this Agreement, he accepts and agrees to be bound by its terms and conditions. The Executive acknowledges that he is signing this Agreement freely and voluntarily having had an opportunity to review, understand and seek legal and other advice as to the meaning of the above provision. The Executive acknowledges that the Corporation has not given the Executive any legal or tax advice relating to this Agreement.
