THE ADVISOR has entered into a sub-administration agreement with State Street Bank and Trust Company dated April 2, 2004 (the "Sub-administration Agreement"). Collectively, the Advisory Agreement, the Administration Agreement, the Custody Agreement, the Auction Agency Agreement and the Sub-administration Agreement are referred to herein as the "Company Agreements."
