NXP Semiconductors N. V / Freescale Semiconductor, Inc. Software. If the Licenced Software includes software owned by NXP Semiconductors N.V and/or Freescale Semiconductor, Inc. (collectively, "NXP"), Licencee agrees that such software shall be subject to the terms of Licencee’s licence with NXP (the "NXP Underlying Software") and as such, APC grants no licence to Licencee, beyond evaluation and demonstration in connection with APC processors, of the NXP Underlying Software. Licencee must separately obtain rights beyond evaluation and demonstration in connection with the NXP Underlying Software from NXP.

  • Technology Discoveries, innovations, Know-How and inventions, whether patentable or not, including computer software, recognized under U.S. law as intellectual creations to which rights of ownership accrue, including, but not limited to, patents, trade secrets, maskworks and copyrights developed under this Agreement.
