Number of Board Meetings and Venue. The Board shall meet at least 4 (four) times in every calendar year and at least once in every calendar quarter. Meetings of the Board shall ordinarily be held at New Delhi/ Gurgaon, India. A Board meeting may also be held outside New Delhi/ Gurgaon at such other places (within India or outside) as may be agreed by a majority of the Directors, from time to time. Subject to the provisions of the Act, a Board meeting may also be held by teleconference or video conferencing and/ or the presence of a Director at a meeting may be recorded if he is present over telephone or video conferencing, if such meeting or presence, as the case may be, is not contrary to Law and shall be counted for the purpose of quorum under the Act.

At each Board meeting, the Directors will mutually appoint one of them as the Chairman to preside over that meeting. The Chairman will have casting or second vote. The Directors shall not receive a sitting fee for attending Board meetings. A Board meeting may also be held by teleconference or video conferencing subject to Applicable Law, and/or the presence of a Director at a meeting may be recorded if he is present over telephone or video conferencing, such meeting or presence, as the case may be, being subject to Applicable Law.

Meetings of the Board shall ordinarily be held at the registered office of the Company. A Board meeting may also be held outside the registered office, at such other places (within India or outside) as may be agreed by a majority of the Directors and consented to by IFC and HCARE from time to time. All expenses and costs as per policies of the Company incurred for meetings of the Board by the Investor Directors shall be borne by the Company.

Board Meetings shall be held at C-00-00, Xxxxxx Xxxxxx, Xxxxx Institutional Area, New Delhi – 110016, unless the Promoter, and the relevant Investor (who have exercised their right to appoint an Investor Director, subject to each such Party holding the threshold requirement as set forth in Clause 3.3) mutually agree otherwise on another place within or outside India, from time to time.

EACH OF THE PARTIES HERETO HEREBY IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE DEFENSE OF AN INCONVENIENT FORUM TO THE MAINTENANCE OF SUCH ACTION OR PROCEEDING IN ANY SUCH COURT.
