No Brokers or Agents. No Credit Party or Subsidiary thereof uses any brokers or other agents acting in any capacity for such Credit Party or Subsidiary in connection with the Obligations.
No Brokers or Agents. Seller has not retained or otherwise engaged any broker, finder or other person or agent or agreed to pay any fee or commission to any agent, broker or other person for or on account of this Agreement or the transactions contemplated hereby, other than fees to its attorneys and accountants.

Should any such claim be advanced by any such foregoing broker or agent, it is agreed that the satisfaction of such claim shall be the sole responsibility of the party which it is claimed utilized the services of such broker or agent.
No Brokers or Agents. Seller and Purchaser represent and warrant to each other that they have not employed the services of a real estate broker or agent in connection with this Agreement, or that if such brokers or agents have been employed, the party employing said brokers or agents will pay any and all expenses, fees, and commissions outside the Closing of this Agreement.
No Brokers or Agents. Each of the Vendor, on the one hand, and the Purchaser, on the other hand, represent and warrant to the other that it has not retained any broker, agent or other intermediary in connection with the transaction herein contemplated.

Except as set forth on Schedule 2.28, neither the Company nor any Member has employed, engaged or otherwise made any agreement with any person or taken any action that would cause any person to become entitled to a broker’s, agent’s or finder’s fee or commission in connection with the transactions contemplated hereby.
