NetWolves Provided Equipment/Warranty. Billing of NetWolves provided equipment will begin upon shipment of the device. Quoted pricing does not include shipping and handling fees. NetWolves will provide an equipment warranty for the NetWolves provided modems and/or routers directly needed to provide the Service. The equipment warranties shall be based on the warranties provided by NetWolves’ suppliers. After expiration of any applicable warranty period, NetWolves will replace such malfunctioning equipment, and Customer will be responsible for the cost of the equipment and the technician dispatch (if applicable). If, during the warranty period, NetWolves deems the equipment to be faulty and believes that a replacement is needed, NetWolves will: schedule a technician to go to the Customer’s location and will not be billed for a technician visit unless the technician determines the equipment failure was due to the Customer’s negligence or abuse of the equipment, or other maintenance or warranty exclusions, in which case fees for a replacement equipment and technician dispatch will apply. Customer hereby grants to NetWolves a purchase money security interest in the Products sold to Customer until Customer pays applicable amounts in full. Customer agrees to sign any documents presented by NetWolves to protect NetWolves’ security interest under the Uniform Commercial Code or other applicable law. Customer shall be liable for NetWolves’ expenses (including reasonable attorney’s fees) in retaking, holding, and preparing for sale of Products repossessed by NetWolves.

  • Equipment Warranty Sunrun warrants all equipment for the duration of the Initial Term. If parts fail during the term of this Agreement, Sunrun will use commercially reasonable efforts to replace them with like equipment; however, you acknowledge that due to parts availability and other factors, this may not be possible. Sunrun agrees that any change in equipment will not reduce the Guaranteed Output set forth in Section D.

  • Customer-Provided Equipment Comcast shall have no obligation to install, operate, or maintain Customer-Provided Equipment. Customer alone shall be responsible for providing maintenance, repair, operation and replacement of all inside telephone wiring and equipment and facilities on the Customer’s side of the cable modem, route and/or coaxial input connection. All Customer-Provided Equipment and wiring that Customer uses in connection with the Services must be fully compatible with the Services. Customer shall be responsible for the payment of all charges for troubleshooting, maintenance or repairs attempted or performed by Comcast’s employees or authorized contractors when the difficulty or trouble report results from Customer-Provided Equipment.

  • Basic Equipment Warranty The Contractor warrants that all equipment rented or supplied under this Agreement shall be in good working order and shall conform to the needs specified by the Judicial Council. The Contractor shall immediately replace any inoperative equipment with operative equipment, or make all adjustments, repairs, and parts replacements required to maintain the equipment rented or supplied hereunder in working condition.

  • Jointly Provided Switched Access Services 7.5.1 Jointly Provided Switched Access Service is described and governed by the FCC and state access Tariffs, Multiple Exchange Carrier Access Billing (MECAB) and Multiple Exchange Carrier Ordering and Design (MECOD) Guidelines and based on LERG routing, and is not modified by any provisions of this Agreement. Both Parties agree to comply with such guidelines. CenturyLink and CLEC agree that the originating, intermediate, and terminating LECs for switched access will cooperatively determine the Jointly Provided Switched Access arrangements in which all parties concur.

  • Service Warranty Provider has carefully examined and analyzed the provisions of this Agreement, including but not limited to all exhibits attached and incorporated into it, and can and will perform, or cause, the Services to be performed in strict accordance with the provisions and requirements of the Agreement. Services will be performed in a timely, professional and workmanlike manner in accordance with all applicable industry and professional standards.

  • Agreement with Respect to Data Processing Equipment and Leases (a) The Receiver hereby grants to the Assuming Institution an exclusive option for the period of ninety (90) days commencing the day after Bank Closing to: (i) accept an assignment from the Receiver of all leased Data Processing Equipment and (ii) purchase at Fair Market Value from the Receiver all owned Data Processing Equipment. The Assuming Institution’s election under this option applies to both owned and leased Data Processing Equipment.

  • Customer Warranty Customer’s and its End Users’ use of the Services must always comply with all applicable Laws and this Agreement.
