Natural. Gas 1. Contractor Group shall have the right to use in the Petroleum Operations, Associated Natural Gas produced from the Development Areas. 2. The available Associated Natural Gas surplus to the requirements defined in the preceding paragraph shall be made available free to Sonangol, in Angola, by Contractor Group. Sonangol shall inform the Contractor Group of its intention to utilize such surplus Gas as soon as reasonably practical. The transfer point for such surplus Gas will be located in the Contract Area at a point to be mutually agreed between the Parties ("Transfer Point"). The delivery point of such Gas will be at a location indicated by Sonangol ("Gas Delivery Point"). The Gas transportation infrastructure between Transfer Point and Gas Delivery Point is herein referred to as "Gas Infrastructure". 3. The cost of construction of the Gas Infrastructure will be borne by the Contractor Group and shall be recoverable under Law. The Gas Infrastructure will be managed by Sonangol once commissioned and the cost of operating such infrastructure shall be borne by Sonangol. 4. If Sonangol sees fit, and if possible, it shall notify the Contractor Group in writing of Sonangol's intentions regarding the destination of this gas, before the final approval of the General Development and Production Plan. 5. Should the funding of the Gas Infrastructure have a significative and negative impact on the economic conditions agreed in this Contract for the Contractor Group, the Parties shall agree on the modifications to the economic terms of the Contract necessary to restore the economic position of Contractor Group as agreed in this Contract. 6. Sonangol and the Contractor Group agree that the timing of the construction of the Gas Infrastructure shall not negatively impact the Crude Oil Development. 7. If Non-Associated Natural Gas is discovered within the Contract Area then Sonangol shall be free to develop on its own account and risk or in association with third parties. 8. If Sonangol wishes and if Contractor Group so agrees in a time period indicated by Sonangol, the Non-Associated Natural Gas discovery will be jointly developed by Sonangol or one of its affiliates and Contractor Group.
Natural. If either party is rendered unable, wholly or in part, by force majeure or any other cause of any kind not reasonably within its control to perform or comply with any obligation or condition of this Agreement, other than obligation to pay money, upon giving written notice to the other party, such obligation or condition shall be suspended during the continuance of the inability so caused and such party shall be relieved of any liability during such period. The term “force majeure” shall include, without limitation, by the following acts of God, or when the supply of product or any facility of production, manufacture/storage, transportation, distribution or delivery contemplated by either party is interrupted, unavailable, or inadequate because of war or the public enemy, strikes, lockouts, or other disturbances, riots, hurricanes, floods, fires, explosion, or destruction from any involuntary cause or any character either similar or dissimilar to the foregoing, reasonably beyond the control of the party failing to perform. Further, a force majeure event affecting [**SOURCE A**] ability to deliver Product into the Tank or Operator’s ability to acquire Product otherwise, which prevents Operator from performing its obligations hereunder shall also serve as a force majeure event hereunder.

  • Gas If Customer has selected a Gas Fixed Rate, Customer’s Price will be based on the Fixed Rate(s), plus the Administration Charge, set forth in the Application, which includes RITERATE ENERGY’s compressor fuel and transportation charges, administrative and transaction costs and the Gas Balancing Amount and any Regulatory Charges (defined below).

  • Resources Contractor is responsible for providing any and all facilities, materials and resources (including personnel, equipment and software) necessary and appropriate for performance of the Services and to meet Contractor's obligations under this Agreement.

  • Wildlife Do not feed any of the wildlife ever. Animals of any size are potentially dangerous. Feeding even small animals attracts predators. Supervise children at all times. Keep garage doors closed at all times except when entering or leaving the Rental Home.

  • Natural Gas 21.1 Subject to Article 21.2, the Indian domestic market shall have the first call on the utilisation of Natural Gas discovered and produced from the Contract Area. Accordingly, any proposal by the Contractor relating to Discovery and production of Natural Gas from the Contract Area shall be made in the context of the Government's policy for the utilisation of Natural Gas and shall take into account the objectives of the Government to develop its resources in the most efficient manner and to promote conservation measures. 21.2 The Contractor shall have the right to use Natural Gas produced from the Contract Area for the purpose of Petroleum Operations including reinjection for pressure maintenance in Oil Fields, gas lifting and captive power generation required for Petroleum Operations. 21.3 For the purpose of sales in the domestic market pursuant to this Article 21, the Contractor shall have freedom to market the Gas and sell its entitlement.

  • Acts of God In the event either party is unable to perform its obligations under the terms of this Management Agreement, despite having taken commercially reasonable precautions, because of acts of God, interruption of electrical power or other utilities, equipment or transmission failure or damage reasonably beyond its control, or other causes reasonably beyond its control, such party shall not be liable to the other for any damages resulting from such failure to perform or otherwise from such causes. The Manager and the Trust shall notify each other as soon as reasonably possible following the occurrence of an event described in this subsection.
