Motor Vehicle Titles. The receipt by the Acquiror of certificates of title to all vehicles, whether owned or leased by the Company and the Operating Subsidiaries on the date hereof, which constitute Assets transferred hereunder, endorsed by the Company and the Operating Subsidiaries, as the case may be, together with completed originals of any forms required by the states in which such vehicles are located to transfer the same, free and clear of Encumbrances, other than Permitted Encumbrances.
Motor Vehicle Titles. Certificates of title for all -------------------- motor vehicles comprising part of the Acquired Assets and appropriate transfer forms duly executed (including those for the Lexus to be sold by Buffton to Buyer);
Motor Vehicle Titles. Promptly deliver to Agent the originals of substantially all certificates of title (now existing or hereafter arising) issued to any Credit Party, on motor vehicles not subject to a Purchase Money Lien, and execute such documentation and take such actions as shall be required by Agent in order for Agent, on behalf of itself and Lenders, to obtain a perfected Lien subject to no Liens other than Permitted Liens in such motor vehicles as collateral for the Obligations.
Motor Vehicle Titles. Original certificates of title with respect to each motor vehicle owned by the Borrower and its Subsidiaries as of the date hereof and not encumbered by a Lien granted to any Person other than the Agent or the Senior Lenders and taken by Xxxxx Fargo Bank as agent for the Senior Lenders.
Motor Vehicle Titles. The Borrower shall have delivered to the Agent the original titles to each of the motor vehicles listed on Disclosure Schedule 2.1(cc).
Motor Vehicle Titles. Upon request of the Agent, make available all title certificates for motor vehicles owned by the Borrowers and their Subsidiaries and cooperate with the Agent in recording notice of the Lien of the Agent granted pursuant to the Security Agreements.

Motor Vehicle Titles. Seller hereby agrees to take such actions, at Seller's expense, as are necessary to obtain replacement Certificates of Title (the "Titles") from the Florida Department of Highway Safety and Motor Vehicles for the 1991 Master Cruiser, 1988 Winnabago, and 1985 Winnabago, listed in Schedule 3.6 of the Purchase Agreement, and will convey the Titles to Buyer as expeditiously as practicable.
Motor Vehicle Titles. Within sixty (60) calendar days of the Closing Date, Borrower shall deliver to the Lender original Certificates of Title for each of the Borrower’s owned motor vehicles, collaterally assigned to the Lender in writing, together with the odometer reading for each such motor vehicle.
