Member Guarantees. Upon the request of the Manager, or upon a Member’s own election but subject to the Manager’s agreement, which may be withheld in the Manager’s sole discretion, a Member (the “Initiating Member”) from time to time, may, but shall not be required to, guarantee or otherwise provide credit support for Company indebtedness or a deficit restoration obligation as such Member may elect. All Members are entitled to notice of any such guarantee or credit support, and shall have the right to provide guarantees or credit support on the same terms and conditions as the Initiating Member does, and all Members interested in providing such guarantee or credit support shall cooperate with the Manager and each other in considering any guarantee or credit support proposal, and the Manager will cooperate in permitting or obtaining any consents for such guarantees or credit support.
Member Guarantees. Except as set forth on Schedule 4.32, no Member has guaranteed any obligations or Liabilities of the Company or any Subsidiary under any guarantee, letter of credit, bid bond or performance bond.
Member Guarantees. No member will be required to issue any ----------------- guarantee.
Member Guarantees. Unless the applicable guaranteeing Member or its Affiliates otherwise agrees:
Member Guarantees. Each Noteholder shall have received an Accession Deed, in substantially the form set forth as Annex II to the Amended Member Guarantee, executed by each New Guaranteeing Member, pursuant to Section 9.8 of the Amended Note Agreement, whereby each New Guaranteeing Member shall become a party to the Amended Member Guarantee.
