Measurement Failure. 1. If during any part of any Gas Day the Primary Meters, Xxxx’x Xxxx Meters or the Gas Analysis Equipment are not adequately operational, the quantity and quality of gas delivered to, or as the case may be offtaken from, the National Grid Gas System at the Interconnection Point during such time will be deemed to be such quantity and quality as may be agreed between IUK and National Grid Gas, in both cases acting reasonably and using alternative measurements for the derivation of such quantity and quality of gas where possible.

In the event that any part of the TranscoNGG Supply Point Measurement Equipment is not adequately operational the TranscoNGG Shift Representative will inform the BGE Shift Representative by telephone of the nature and estimated duration of the failure as soon as reasonably practicable. In the event that any part of the Supply Point Measurement Equipment at any Connected Systems Point is not adequately operational, BGE will, so far as reasonably practicable, offtake gas from the TranscoNGG System at an alternative Connected Systems Point where there is no such failure. Alternative methods of measurement in the event that any part of the Supply Point Measurement Equipment is not adequately operational are as set out in Part 2 of Annex C.

If during any part of any Day, any part of the Interconnection Point Measurement Equipment is not operating in accordance with the requirements of this Agreement, the quantity of Natural Gas offtaken from the GNI System or delivered to the GNI (UK) System at the Interconnection Point during such time will be deemed to be such quantity as may be agreed between GNI (UK) and GNI, in both cases acting reasonably and using such alternative measurements for the derivation of such quantity of Natural Gas as are practicable in the circumstances having regard to the provisions of paragraphs 2 and 3 below.

  • Measurement Should the State terminate this contract as herein provided, no fees other than fees due and payable at the time of termination shall thereafter be paid to the Engineer. In determining the value of the work performed by the Engineer prior to termination, the State shall be the sole judge. Compensation for work at termination will be based on a percentage of the work completed at that time. Should the State terminate this contract under paragraph (4) or (5) above, the Engineer shall not incur costs during the thirty-day notice period in excess of the amount incurred during the preceding thirty days.

  • Performance Testing 7.2.1 The Design-Builder shall direct and supervise the tests and, if necessary, the retests of the Plant using Design-Builder’s supervisory personnel and the Air Emissions Tester shall conduct the air emissions test, in each case, in accordance with the testing procedures set forth in Exhibit A (the “Performance Tests”), to demonstrate, at a minimum, compliance with the Performance Guarantee Criteria. Owner is responsible for obtaining Air Emissions Tester and for ensuring Air Emissions Tester’s timely performance. Design-Builder shall cooperate with the Air Emissions Tester to facilitate performance of all air emissions tests. Design-Builder shall not be held responsible for the actions of Owner’s employees and third parties involved in the Performance Testing, including but not limited to Air Emissions Tester.

  • Acceptance/Performance Test 4.7.1 Prior to synchronization of the Power Project, the SPD shall be required to get the Project certified for the requisite acceptance/performance test as may be laid down by Central Electricity Authority or an agency identified by the central government to carry out testing and certification for the solar power projects.

  • Performance Delay Time is of the essence in the Vendor’s performance of this Agreement. If at any time it appears to Vendor that it may not meet any of the performance schedules or the scheduled completion date of the services to be performed for any reason, including labor disputes, Vendor shall immediately by verbal means (to be confirmed in writing) notify Customer of the reasons for and the estimated duration of such delay. If requested by Customer, Vendor shall make every effort to avoid or minimize the delay to the maximum extent possible including the expenditure of premium time. Any additional cost caused by these requirements of Customer shall be borne by Vendor, unless the delay in performance arises out of causes beyond the control and without the fault or negligence of Vendor or its subcontractors within the meaning of the Cancellation- Default clause herein. The foregoing requirements are in addition to any of Customer’s other rights and remedies as may be provided by law or this Agreement.

  • Performance Deficiency The Department or Customer may, in its sole discretion, notify the Contractor of the deficiency to be corrected, which correction must be made within a time-frame specified by the Department or Customer. The Contractor must provide the Department or Customer with a corrective action plan describing how the Contractor will address all issues of contract non-performance, unacceptable performance, and failure to meet the minimum performance levels, deliverable deficiencies, or contract non-compliance.
