MASTER FRANCHISE FEE. The Master Franchisee shall pay to the Franchisor an initial fee of U.S. $3,570,000 (the "Master Franchise Fee") payable: (i) U.S. $24,000 payable at the same time this Agreement is signed (for the first 120 Lines); and (ii) U.S. $1,000 for each additional Line but not to exceed U.S. $3,570,000 regardless if more than 3,666 Lines are deployed. The Master Franchise Fee or any portion thereof paid to the Franchisor is non-refundable in consideration for administrative and other costs incurred by the Franchisor and opportunities lost or deferred as a result of the rights granted to the Master Franchisee in this Agreement.

MASTER FRANCHISE FEE. Master Franchisee has paid to Franchisor the sum of $300,000 as a development fee. This fee is deemed fully earned and is non-refundable.
MASTER FRANCHISE FEE. In consideration of the rights granted under this Agreement and the development opportunities lost or deferred as a result of the rights granted under this Agreement, Master Franchisee shall pay to Franchisor an initial, non-refundable master franchise fee (“Master Franchise Fee”) of Two Million Seven Hundred Thousand U.S. Dollars (U.S. $2,700,000. Franchisor acknowledges receipt of One Hundred Thousand U.S. Dollars (U.S. $100,000) for the deposit under the partiesletter of intent prior to the date hereof. Master Franchisee shall pay Franchisor upon execution of this Agreement, Three Hundred Thousand U.S. Dollars (U.S. $300,000) and shall pay the remaining Two Million Three Hundred Thousand U.S. Dollars (U.S. $2,300,000) for the balance of the Master Franchise Fee due hereunder, no later than June 30, 2021. The Master Franchise Fee shall be deemed fully-earned and non-refundable when paid.
MASTER FRANCHISE FEE. On its execution of the Agreement, Master Franchisee will pay Franchisor an initial master franchise fee of US $150,000.00.
MASTER FRANCHISE FEE. Upon execution of this Agreement, there will be due to the Company, from the Master Franchisor, a Master Franchise Fee in the amount of US$220,000, of which $20,000 shall be payable at Closing and the balance shall be payable, together with interest, at the rate of twelve (12%) percent per annum, in 84 consecutive monthly installments of US$3,530.55, commencing the first day of the first full month following the Closing, pursuant to a Promissory Note to be executed at Closing (the "Master Fee Note").

  • Property Management Fee For its services in managing the day-to-day operations of the Property in accordance with the terms of this Agreement, Company shall pay to Property Manager an annual property management fee (the “Property Management Fee”) equal to 4.0% of the Gross Revenue (as hereinafter defined). The Property Management Fee shall be prorated for any partial year and shall be payable in equal monthly installments, in advance. The Property Management Fee shall be payable on the first day of each month from the Operating Account or from other funds timely provided by the Company. Upon the expiration or earlier termination of this Agreement, the parties will prorate the Property Management Fee on a daily basis to the effective date of such expiration or termination. For purposes of this Agreement, the term “Gross Revenue” shall mean all gross collections from the operations of the Property, including, without limitation, rental receipts, late fees, application fees, pet fees, damages, lease buy-out payments, reimbursements by Tenants for common area expenses, operating expenses and taxes and similar pass-through obligations paid by Tenants, but shall expressly exclude (i) security deposits received from Tenants and interest accrued thereon for the benefit of the Tenants until such deposits or interest are included in the taxable income of the Company; (ii) advance rents (but not lease buy-out payments) until the month in which payments are to apply as rental income; (iii) reimbursements by Tenants for work done for a particular Tenant; (iv) proceeds from the sale or other disposition of all or any portion of the Property; (v) insurance proceeds received by the Company as a result of any insured loss (except proceeds from rent insurance or the excess of insurance proceeds for repairs over the actual costs of such repairs); (vi) condemnation proceeds not attributable to rent; (vii) capital contributions made by the Company; (viii) proceeds from capital, financing and any other transactions not in the ordinary course of the operation of the Property; (ix) income derived from interest on investments or otherwise; (x) abatement of taxes, awards arising out of takings by eminent domain and discounts and dividends on insurance policies; and (xi) rental concessions not paid by third parties.

  • Franchise Agreement (a) Except as provided in this Agreement, the Properties shall at all times be operated in accordance with the terms and conditions of the Franchise Agreements. Borrower shall, or shall cause Mortgage Borrower or Operating Lessee to cause Manager to, (i) pay all sums required to be paid by Mortgage Borrower, Operating Lessee and/or Manager under the Franchise Agreements, (ii) diligently perform, observe and enforce all of the terms, covenants and conditions of the Franchise Agreements, (iii) promptly deliver to Lender a copy of any written notice to Mortgage Borrower or Operating Lessee of any default by Mortgage Borrower, Operating Lessee and/or Manager under the Franchise Agreements and notify Lender of any material default under the Franchise Agreements of which it is aware, (iv) promptly deliver to Lender a copy of any written notice to Franchisor of any default by Franchisor under the Franchise Agreements, (v) promptly deliver to Lender a copy of each financial statement, business plan, capital expenditure plan, notice of non-performance, report and estimate (a) received by Mortgage Borrower or Operating Lessee under the Franchise Agreements and (b) required to be delivered by Mortgage Borrower, Operating Lessee and/or Manager to Franchisor under the Franchise Agreements, (vi) complete all work required under any PIP on or prior to the Outside Date, (vii) not modify or amend the Franchise Agreements to the extent such modification or amendment could reasonably be expected to have a Material Adverse Effect, and (viii) except as provided in clause (b) below not terminate, cancel, or replace the Franchise Agreements, nor replace the Franchisor, nor waive or release any of its rights and remedies under the Franchise Agreements in any material respect, without Lender’s prior written consent. Each request by Borrower for approval and consent by Lender pursuant to this Section 5.25 shall be in writing and contain a legend in capitalized bold letters on the top of the cover page stating: “LENDER’S RESPONSE IS REQUESTED WITHIN TEN (10) BUSINESS DAYS. LENDER’S FAILURE TO RESPOND WITHIN SUCH TIME PERIOD SHALL RESULT IN LENDER’S CONSENT BEING DEEMED TO HAVE BEEN GRANTED” and Borrower shall include the following documentation with such request all materials reasonably necessary in order for Lender to evaluate such matter. In the event that Lender fails to grant or withhold its approval and consent to such matter within such ten (10) Business Day period (and, in the case of a withholding of consent, stating the grounds therefor in reasonable detail), then, so long as no Event of Default is continuing, Lender’s approval and consent shall be deemed to have been granted. There shall be no administrative or approval fee in connection with this Section 5.25(a), but Borrower shall pay any out-of-pocket costs and expenses incurred by Lender.

  • License Fee The Licensee to shall make payment of the License Fee to Licensor on the date of this Agreement. All rights granted to Licensee by Producer in the Beat are conditional upon Licensee’s timely payment of the License Fee. The License Fee is a one-time payment for the rights granted to Licensee and this Agreement is not valid until the License Fee has been paid.

Seller shall be responsible for paying all costs related to the termination of the Existing Management Agreement. Buyer shall be responsible for paying all reasonable and actual costs of the Franchisor related to the assignment or termination, as applicable, of the Existing Franchise Agreement. Seller shall use best efforts to promptly provide all information required by the Franchisor in connection with the New Franchise Agreement, and Seller and Buyer shall diligently pursue obtaining the same. As a condition to Buyer’s and Seller’s obligation to close under this Contract, Buyer and Manager shall agree, on or before the expiration of the Review Period, on the form and substance of the New Management Agreement.
