Managed IT Services Sample Clauses
Managed IT Services. So long as Customer is receiving Managed IT Services and for a period of 3 years thereafter, ▇▇▇▇▇▇▇▇ agrees not to solicit, recruit, engage or otherwise employ or retain, on a full-time, part-time, work-for hire or consulting or any other kind of basis, any managed services employee has been assigned to perform managed services tasks under this Agreement. If Customer breaches the prior sentence, Alaska Communications shall be entitled to a commission equal to 200% of the employee’s yearly salary (including all commissions, bonuses and benefits) or, at Alaska Communications’ option, Customer’s Managed IT Services fees (adjusted to approximate a one-year term).
Managed IT Services. The table in this clause 2.1 outlines three levels of Managed IT Services that are available to the Customer under these Specific Service Terms. The level of Managed IT Services that will be provided to you under this Agreement will be the level as selected in the Scope of Works.
Managed IT Services. (a) Supplier will provide the Managed IT Services:
(i) in respect of the services identified in the Order;
(ii) to meet any applicable Service Level; and
(iii) where applicable, in accordance with any relevant Third Party Terms.
(b) Customer acknowledges that it is responsible for the local connectivity required to access the Managed IT Services.
Managed IT Services. 5.1 Syscomm shall create an Account for the Customer during the completion of the Set Up Services.
5.2 Syscomm hereby grants to the Customer a non-exclusive license to consume the Managed IT Services for the business purposes of the Customer in accordance with the Documentation during the Term.
5.3 Except to the extent expressly permitted in this Agreement or required by law on a non-excludable basis, the permission granted by Syscomm to the Customer under Clause 5.2 is subject to the following prohibitions:
(a) the Customer must not sub-let its right to access and use any Managed IT Service;
(b) the Customer must not permit any unauthorised person to access or use any Managed IT Service;
(c) the Customer must not use the Managed IT Service to resell similar services to third parties; and
(d) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on any aspect of the infrastructure related to the Managed IT Services without the prior written consent of Syscomm.
5.4 The Customer shall use reasonable endeavours, including reasonable security measures relating to Account access details, to ensure that no unauthorised person may gain access to the Managed IT Services using an Account.
5.5 The parties acknowledge and agree that Schedule 2 (Availability SLA) shall govern the availability of the Managed IT Services.
5.6 The Customer must not use the Managed IT Services in any way that causes, or may cause, damage to or impairment of the availability or accessibility of the Managed IT Services.
5.7 The Customer must not use the Managed IT Services:
(a) in any way that is unlawful, illegal, fraudulent or harmful; or
(b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
5.8 The Customer has no right to access any software code (including object code, intermediate code and source code), either during or after the Term.
