Maintenance of Existence, Assets, Business, and Insurance. Except as permitted by Section 6.4, each Company shall at all times (a) maintain its corporate existence and authority to transact business, (b) maintain its good standing in its jurisdiction of incorporation or organization and all other jurisdictions where the failure to so maintain could reasonably be expected to have a Material Adverse Effect, (c) maintain all licenses, permits, and franchises necessary for its business, where the failure to so maintain could reasonably be expected to have a Material Adverse Effect, (d) keep all of its assets which are necessary to its business in good working order and condition (ordinary wear and tear excepted), and make all necessary repairs and replacements thereto, where the failure to so keep and repair could reasonably be expected to have a Material Adverse Effect, and (e) maintain either (i) insurance with such insurers, in such amounts, and covering such risks, as shall be ordinary and customary in the industry or (ii) a comparable self-insurance program.

Maintenance of Existence, Assets, Business, and Insurance. The Company shall at all times maintain its existence and authority to transact business and good standing in its jurisdictions of organization and all other jurisdictions where the failure to so maintain might have a Material Adverse Effect; maintain all licenses, permits, and franchises necessary for the Business; maintain, preserve, protect, and keep all of the Business Assets, including Equipment and Inventory, in good working order and condition; make all necessary repairs and replacements; and maintain, or cause to be maintained, insurance with such insurers, in such amounts, and covering such risks (including the risk of business interruption), as shall be reasonably satisfactory to Purchasers. The Company shall, within thirty (30) days after Closing, cause Purchasers to be named as additional insured on all general liability and property and casualty insurance policies of the Company and cause Purchasers to be named as loss payee on all property and casualty insurance policies of the Company.

  • Existence; Maintenance of Properties (a) The Borrower will preserve and keep in full force and effect its existence as a Delaware limited partnership. Each Guarantor will preserve and keep in full force and effect its legal existence in the jurisdiction of its incorporation or formation. Parent shall at all times comply with all requirements and applicable laws and regulations necessary to maintain REIT Status and shall continue to receive REIT Status. The common stock of Parent shall at all times be listed for trading and be traded on NASDAQ, the New York Stock Exchange or another nationally recognized exchange unless otherwise consented to by the Required Lenders. The Borrower shall continue to own directly or indirectly one hundred percent (100%) of the Subsidiary Guarantors.
