LOCAL FORMALITIES. The Second Party will complete all local formalities for the short listed candidates such as Medical Test, Immigration Clearance, Insurance, Legal formalities, Orientation, Mobilization etc. in the Country of Origin of the selected candidate.

LOCAL FORMALITIES. If local laws or customs in the countries in which the Ferro Subsidiaries are located require additional formalities (such as notarizations, filings, notications, consultations or consents) to effect the transactions contemplated by this Purchase Agreement, then the parties will cooperate to carry out such formalities simultaneously with or before the Closing, but with effect as of the Closing Time. If either party desires that the specific terms and conditions of this Purchase Agreement applicable to a given jurisdiction be put in writing in a separate agreement, then the parties will cooperate to prepare and execute such separate agreement, but such separate agreement will (unless the parties expressly agree otherwise in a signed document that refers to this Section 5.5) in all events be interpreted consistently with and as subordinate to the terms and conditions of this Purchase Agreement.

LOCAL FORMALITIES. If, in the reasonable opinion of counsel for either party, local law or custom in Germany, Spain, Sweden, the United Kingdom or any other jurisdiction require additional formalities (such as notarization), filings, or consents in order to give legal effect to the transactions contemplated by this Purchase Agreement, then the Conformed Copy parties will cooperate to carry out such formalities simultaneously with or before the Closing, but with effect as of the Closing Time. If either party desires that the specific terms and conditions (including price allocation) of this Purchase Agreement applicable to a given jurisdiction be put in writing in a separate agreement or instrument, then the parties will cooperate to prepare and execute such separate agreement, but such separate agreement will (unless the parties expressly agree otherwise in a signed document that refers to this Section 5.5) in all events be interpreted consistently with and as subordinate to the terms and conditions of this Purchase Agreement.
