Listing and Delisting. Parent shall use its best efforts to cause the shares of Parent Preferred Stock to be issued in the Merger, the shares of Parent Common Stock issuable upon conversion of the Parent Preferred Stock issuable in the Merger, and the Exchange Debentures (as defined in Exhibit B) prior to or upon issuance thereof, to be approved for listing on the NYSE. The Surviving Corporation shall use its best efforts to cause the Common Stock to be de-listed from the NYSE and de-registered under the Exchange Act as soon as practicable following the Effective Time.
Listing and Delisting. CCK and XTRX shall use all commercially reasonable efforts to have the CCK Shares delisted from the NEX prior to completion of the Business Combination and shall concurrently use all commercially reasonable efforts to have the CCK Shares to be issued in connection with the Business Combination listed on the CSE following the Business Combination.
Listing and Delisting. The Company will use its commercially reasonable efforts to effect and maintain the listing of the Ordinary Shares (including the Securities) on the New York Stock Exchange and to terminate the listing of the Ordinary Shares on the AIM.

  • NYSE Listing The shares of Parent Common Stock to be issued to the holders of Company Common Stock upon consummation of the Merger shall have been authorized for listing on the NYSE, subject to official notice of issuance.

  • Listing The Company shall promptly secure the listing of the Conversion Shares upon each national securities exchange or automated quotation system, if any, upon which shares of Common Stock are then listed (subject to official notice of issuance) and, so long as the Buyer owns any of the Securities, shall maintain, so long as any other shares of Common Stock shall be so listed, such listing of all Conversion Shares from time to time issuable upon conversion of the Note. The Company shall promptly provide to the Buyer copies of any notices it receives from the OTCBB and any other exchanges or quotation systems on which the Common Stock is then listed regarding the continued eligibility of the Common Stock for listing on such exchanges and quotation systems.

  • Stock Exchange Delisting Prior to the Closing Date, the Company shall cooperate with Parent and use its reasonable best efforts to take, or cause to be taken, all actions, and do or cause to be done all things, reasonably necessary, proper or advisable on its part under applicable Laws and rules and policies of the New York Stock Exchange to enable the delisting by the Surviving Corporation of the Shares from the New York Stock Exchange as promptly as practicable after the Effective Time and the deregistration of the Shares under the Exchange Act at the Effective Time.

  • Exchange Listing The Shares to be delivered on the Closing Date or the Additional Closing Date, as the case may be, shall have been approved for listing on the Nasdaq Market, subject to official notice of issuance.
