Upon the Listing, the Company shall pay Employee a success fee of $150,000, due and payable within (3) business days of the Listing.
The Director represents and warrants that, as of the Effective Date, the Director is “independent” with respect to the Company, as such term is defined by Rule 5605 of the Nasdaq Stock Market’s Listing Rules, and any other applicable rules.
